Constitution of The Texas Association of Mayors, Councilmembers & Commissioners

Article I. Name & Location
Section I. Name. This association shall be known as the Texas Association of Mayors, Councilmembers and Commissioners (TAMCC).
Section 2. Affiliation. The Texas Association of Mayors, Councilmembers and Commissioners is a department of the Texas Municipal League (TML).
Section 3. Location. The Texas Association of Mayors, Councilmembers and Commissioners shall be located at the headquarters of the Texas Municipal League in Austin, Travis County, Texas.
Article II. Purpose
The purpose of TAMCC shall be to promote the proficiency of elected municipal officials and encourage and improve the cause of good and efficient municipal government in the State of Texas.
Article III. Membership
The membership of TAMCC shall be comprised of mayors, councilmembers and city commissioners serving in TML member cities in the State of Texas. Only elected municipal officials from TML member cities shall be entitled to vote at TAMCC meetings and each member shall be entitled to one vote on all matters.
Article II. Purpose
The purpose of TAMCC shall be to promote the proficiency of elected municipal officials and encourage and improve the cause of good and efficient municipal government in the State of Texas.
Article III. Membership
The membership of TAMCC shall be comprised of mayors, councilmembers and city commissioners serving in TML member cities in the State of Texas. Only elected municipal officials from TML member cities shall be entitled to vote at TAMCC meetings and each member shall be entitled to one vote on all matters.
Article IV. Board of Directors
Section I. Composition. The Board of Directors of TAMCC shall be a President; a Vice President; the Immediate Past President; the Second Past President; and an Executive Secretary, which office shall be filled by the Executive Director of the Texas Municipal League or his/her designate.
The President shall serve as TAMCC's Affiliate Director on the TML Board of Directors.
Section 2. Terms of Office. Terms of the board shall be as follows:
A. The President and Vice President shall serve two years each, said terms to commence immediately upon adjournment of the TML Annual Conference during odd-numbered years.
B. The Immediate Past President shall serve until replaced by the President upon completion of the President's term of office.
C. The Second Past President shall serve until replaced by the Immediate Past President upon completion of the Immediate Past President's term of office.
Section 3. Vacancies. A vacancy in the office of the President shall be filled for the remainder of the term by the succession of the Vice President to that office.
A vacancy in the office of the Vice President shall remain vacant until the next Elected Officials' Conference or TML Annual Conference, at which time the office shall be filled in accordance with Section V. An officer who succeeds to fill a vacancy under this Section shall serve the remainder of that unexpired term, after which the officer’s full term shall commence.
Section 4. Qualifications of the Board. With the exception of the Executive Secretary or his/her designate, all Board members shall be members of TAMCC as defined in Article III, and, in addition, shall have a minimum of two years of service as an elected official in a TML member city and demonstrated an active interest in TML and TAMCC activities.
Article V. Election of the Board
The President, who serves as TAMCC's Affiliate Director, and Vice President must be eligible to serve on the TML Board in accordance with the TML Constitution.
Section 1. Nominating Committee. The President shall appoint a nominating committee of five members, at least 45 days in advance of the election of officers. The nominating committee shall be composed of the First Vice President, serving as chair of the nominating committee, and four other members from different geographical regions throughout the State of Texas. All nominating committee members shall be currently in office and have a minimum of two years of service as an elected official in cities that are members of the Texas Municipal League and not more than two committee members shall be past presidents.
Section 2. Election by Succession. If eligible, the Vice President shall automatically become President at the conclusion of his/her terms of office. The other office for which nominations are accepted is Vice President.
Section 3. Election. The nominating committee shall submit nominees to the TAMCC Board, and the Board shall submit the report to the membership of TAMCC at the annual election of officers during the TML Annual Conference. Nominations will be accepted from the floor during the meeting. Current nominating committee members (excluding the Vice President) shall not be eligible to be nominees for office. Board members elected must receive a majority vote of the membership present and voting at the annual election of officers meeting. The Board members elected shall begin their terms of office at the close of the Texas Municipal League Annual Conference in odd-numbered years.
ARTICLE VI. Meetings
There shall be at least two meetings of TAMCC each year. One meeting shall be held at the time and place of the Annual Conference of the Texas Municipal League; the second shall be held at the time and place of the Elected Officials’ Conference each year.
Article VII. Standing Committees
The President shall appoint such standing committees as he/she may deem advisable except that the creation of said committees shall be subject to the approval of the Board officers. A permanent standing committee includes the nominating committee as outlined in Article V.
Article VIII. Amendments
This Constitution may be amended at a meeting of TAMCC as provided for in Article VI by a two-thirds vote, provided the proposed amendments shall have first been prepared in writing and submitted to the TAMCC Board of Directors at least 15 days prior to the TAMCC Board meeting. Such amendments shall go into effect immediately upon adoption or as otherwise stipulated.
Article IX. Proceedings
Section 1. The proceedings of TAMCC shall be conducted as directed in its Constitution; and, where absence of specific direction prevails, the proceedings of TAMCC shall be conducted in accordance with Robert’s Rules of Order, and the same is hereby adopted for all authority not herein specifically given.
Section 2. Any question as to the meaning or construction of this Constitution shall be decided by a majority vote of the Board, and the decision of the Board shall control and be binding until and unless rescinded by a vote of two-thirds of the members present and voting at either of the meetings of TAMCC, or when the same shall have been rescinded by action of a court of competent jurisdiction.
Article X. Adoption
This Constitution shall be in full force and effect from and after its approval by a majority of the members of the Board.
ARTICLE XI. Voting by Proxy
Voting by proxy shall not be allowed.
